Investment Objective

To provide long-term total return of capital, primarily through capital appreciation.

Investment Strategy

The Fund uses a proprietary, statistical approach to invest in a diversified portfolio of stocks of companies in the small value category that are listed on the New York Stock Exchange, the NYSE American, and Nasdaq®. Value stocks are those that Bridgeway believes are priced cheaply relative to some measures of worth, such as the ratios of price to earnings, price to sales, or price to cash flow. While the Fund is managed for long-term return on capital, Bridgeway seeks to minimize capital gains distributions as part of a tax management strategy.

The Fund has a management fee that is comprised of a base fee of 0.61% which is applied to the Fund’s average annual net assets and a performance-based management fee of +/-0.05%. Performance-based management fee adjustments modify the base fee upward or downward depending on the Fund’s performance relative to the applicable market index over a rolling five-year performance period, and are calculated based on the Fund’s average daily net assets over the most recent five-year period ending on the last day of the quarter. As a result the management fee may change from year to year and may be higher or lower than the fee stated above.

The Adviser is contractually obligated to waive fees and/or reimburse expenses such that the net expenses of the Fund do not exceed 0.94%. Any material change to this Fund policy would require a vote by shareholders.

The Morningstar Rating™ for funds, or "star rating," is calculated for managed products (including mutual funds, variable annuity and variable life subaccounts, exchange-traded funds, closed-end funds, and separate accounts) with at least a three-year history. Exchange-traded funds and open-ended mutual funds are considered a single population for comparative purposes. It is calculated based on a Morningstar Risk-Adjusted Return measure that accounts for variation in a managed product's monthly excess performance, placing more emphasis on downward variations and rewarding consistent performance. The top 10% of products in each product category receive 5 stars, the next 22.5% receive 4 stars, the next 35% receive 3 stars, the next 22.5% receive 2 stars, and the bottom 10% receive 1 star. The Overall Morningstar Rating for a managed product is derived from a weighted average of the performance figures associated with its three-, five-, and 10-year (if applicable) Morningstar Rating metrics. The weights are: 100% three-year rating for 36–59 months of total returns, 60% five-year rating/40% three-year rating for 60–119 months of total returns, and 50% 10-year rating/30% five-year rating/20% three-year rating for 120 or more months of total returns. While the 10-year overall star rating formula seems to give the most weight to the 10-year period, the most recent three-year period actually has the greatest impact because it is included in all three rating periods. Bridgeway Small-Cap Value Fund was rated against the following number of US-domiciled small value funds over the following time periods: 456 funds over the last three years, 427 funds over the last five years, and 333 funds over the last 10 years. With respect to these small value funds, Bridgeway Small-Cap Value Fund received a Morningstar Rating of five stars, five stars, and four stars for the three-, five-, and ten year periods respectively.

Morningstar rankings are based on a fund's average annual total return relative to all funds in the same Morningstar category. Fund performance used within the rankings, reflects certain fee waivers, without which, returns and Morningstar rankings would have been lower.

This additional risk is attributable to a number of factors, including the relatively limited financial resources that are typically available to small companies, and the fact that small companies often have comparatively limited product lines. In addition, the stock of small companies tends to be more volatile than the stock of large companies, particularly in the short term and particularly in the early stages of an economic or market downturn. Shareholders of the Fund, therefore, are taking on more risk than they would if they invested in the stock market as a whole.

The Russell 2000® Value Index measures the performance of those Russell 2000® companies with lower price-to-book ratios and lower forecasted growth values. All indexes assume that all dividends are reinvested. It is not possible to invest directly in an index.
